How do I send a side letter?

Side letters can be produced while sending an invitation to an investor. Before sending the invitation, select the'+Customize' option and input the desired management and performance fees and the lock up period. Upon the investor subscription, a custom side letter will be auto-generated.

An investor just sent a wire. Why can I accept the investment?

There is a common misconception that wires settle instantly or within a few hours, but this is not true. Wires can take 24-72 hours to settle, depending on various factors such as processing time, compliance of the processing/sending bank, and batching of wires, among others. Repool does not have special visibility into your incoming or outgoing wires, and this is the industry norm.

Investments cannot be accepted until the wire has settled in the fund bank account and the investor has cleared Repool's KYC process. The KYC process typically takes 24 hours after the wire is received.

When a wire is received and is pending Repool KYC approval, you will see that the investor has initiated an investment. Once the KYC approval is received, the investment becomes available for manager approval, and the funds are immediately accessible.

How do I invite myself or other managers to invest?

Managers can invite themselves and their colleagues using the same workflow as they do inviting outside investors. Typically, managers prefer to have separate logins for the Repool Manager and Investor portals.

When you or your fellow managers are creating Repool investor logins, there are two methods that can be used to maintain separate logins:

Method 1 - Use a different email for your investor login.

Method 2 - Utilize the universal email alias function. You can add a plus (+) to an email address, and emails will still be directed to the original email address, while the Repool login will remain unique. For example, if your Manager login is John@RepoolCapital.com, you can use John+Investor@RepoolCapital.com to create your investor profile. All investor emails will still be sent to John@RepoolCapital.com, but your logins and profiles will be distinct.

Why do my investors have different wire instructions for investing?

Each investor on the Repool platform is assigned a unique account number linked to their wire instructions. This enables us to automatically attribute incoming investment wires to the respective investor. If investors request wire instructions from you as the manager, make sure to send them the wire instructions that are specific to their investor profile. These instructions can be accessed or downloaded from the Fundraising page by locating the investor subscription record and selecting the 'View' wire instructions option.

I just accepted a subscription, what does that mean for my investor?

When a subscription is accepted, the fund gains immediate access to the assets.. It is crucial that managers only accept subscriptions when they are ready to deploy the investor's assets.

The investor's initial NAV is dependent on the timing of which the assets are accepted. If a subscription is accepted prior to the market open then the investor will be bought into the fund at the fund's previous closing NAV. If the subscription is accepted during market hours then the investor will buy in into the fund at the fund's closing NAV.

I don't have enough cash in my fund bank account to service a redemption. What now?

Redemptions cannot be accepted unless the manager has sufficient capital in the bank account to fulfill the redemption request. If additional capital is needed, the manager must wire funds from their brokerage account(s) to the fund bank account. You can find general fund bank account wire instructions in the 'Account Details' section of the Bank Account page.

Wires from brokerage accounts must always be directed to the fund bank account. Managers should never send wires to investors from any account outside of the fund bank account.
